Stained Edition – Partner/Vendor Agreement

Parties: This agreement is entered into between Stained Edition (“Company”) and [Partner/Vendor

Name] (“Partner”), collectively referred to as “Parties.”

1. Purpose

The purpose of this agreement is to outline the terms and expectations for collaboration between the

Parties for the purpose of an event/workshop.

2. Scope of Services

Stained Edition will provide: workshop facilitation, stained glass instruction, equipment, setup, and

cleanup.

Partner will provide: venue space, marketing assistance, refreshments, audience outreach.

3. Financial Terms

Payment Structure:

If revenue split: Percentage split is 80% Stained Edition / 20% Partner based on net sales after direct

Invoicing & Payment:

Invoices will be issued by Stained Edition and are payable within 14 days via invoice sent through

Square.

Late payments may incur a 5% monthly late fee and may result in cancellation of future scheduled

events until payment is received.

Deposit:

A 10% deposit is required to confirm the collaboration date.

Event Shortening:

If the Partner causes delays (late venue access, restricted use of space) resulting in shortened event

time, Stained Edition remains entitled to the full contracted payment or revenue share.

4. Responsibilities

Partner/Vendor Will:

- Provide a safe, clean, and accessible space that meets agreed requirements (tables, seating, power

outlets, lighting).

- Ensure Stained Edition has uninterrupted access to the venue for the agreed-upon setup and

breakdown time.

- Secure all necessary permits, licenses, or insurance for their space.

- Promote the event through their available channels (if agreed).

- Assume legal responsibility for alcohol service, including verifying legal drinking age and ensuring

responsible consumption if alcohol is served.

- Carry general liability insurance and provide proof upon request; larger venues must name StainedEdition as an additional insured for the event date.

- Obtain Stained Edition’s prior approval before bringing in subcontractors or third-party vendors whose

activities may impact the workshop.

Stained Edition Will:

- Arrive on time for setup and bring all necessary tools, materials, and safety gear for participants.

- Ensure safe conduct of all activities.

- Promote the event through Stained Edition’s marketing channels (if agreed).

5. Safety & Liability

All participants must sign Stained Edition’s Safety & Liability Waiver before participating.

The Partner is responsible for enforcing any venue-specific safety rules.

While Stained Edition performs thorough cleanup, small glass fragments may remain; Partner is

responsible for ensuring ongoing safety after the event.

Stained Edition is not responsible for injuries, damages, or losses outside of its direct control.

6. Refund Policy for Removal from Class

Any participant removed from the event due to unsafe behavior, intoxication, or failure to follow safety

rules will not be entitled to a refund or credit for the event.

7. Accessibility Clause

Partner agrees to notify Stained Edition of any accessibility needs at least 7 days in advance so

accommodations can be planned.

8. Cancellations & Rescheduling

Mutual Agreement: Either party may cancel in writing with at least 14 days notice without penalty.

Late Cancellation: Cancellations within 14 days of the event will result in forfeiture of deposit.

Low Attendance Clause: If ticket sales or registrations are below an agreed minimum by 14 days before

the event, the Parties will decide to proceed, reschedule, or cancel.

Force Majeure: Neither party is liable for cancellations due to events beyond their control.

9. Brand & Experience Protection

Exclusivity Clause, Brand Alignment Clause, and Content Use Limits as previously described.

10. Post-Event Hazard Disclaimer

While Stained Edition performs thorough cleanup after the event, small glass fragments, solder residue,

or other materials may remain. Partner acknowledges that the venue assumes full responsibility for

ongoing safety after the event.

11. Recurring Workshop Framework

Terms for multi-event scheduling, first right of refusal, rolling deposit, adjustable pricing, automatic

renewal, and consistent standards as previously described.

12. Damage Reporting

Any claims of damage to venue property caused by Stained Edition must be reported in writing within

24 hours of the event.

13. Termination for BreachEither Party may terminate immediately upon written notice for material breach.

14. Intellectual Property

Stained Edition retains ownership of all original designs, materials, and branding.

15. Media & Promotion

Photos and videos taken during the event may be used by both Parties for promotional purposes

unless otherwise requested in writing.

16. Confidentiality

Both Parties agree not to share proprietary or sensitive business information without written consent.

17. Indemnification

Each Party agrees to indemnify and hold harmless the other from any claims or damages arising from

their own actions, negligence, or breach.

18. Governing Law

This agreement shall be governed by and interpreted under the laws of the State of [Your State].

19. Entire Agreement

This agreement constitutes the full understanding between the Parties and supersedes any prior

agreements.
